EU energy policy and Introduction to the legal components of renewable energy project development.

The purpose of this course is to provide an overview of the evolution of the legal and regulatory framework for the electricity internal market within the European Union, focusing on renewable energy. Participants will examine key milestones in EU energy policy, from early directives to the European Green Deal, the Fit for 55 package and the REPowerEU. The course will also include a brief overview of the Portuguese framework – including the national goals and what the country has done to foster renewable energy – as a case study.

Practical sessions will introduce participants to the core legal components of renewable energy project development, including typical licensing procedures, standard project contracts (e.g., power purchase agreements, engineering, procurement and construction agreements), and the legal structure of an M&A transaction involving a renewable energy asset.

The main goals of the program is to understand the historical development of EU renewable energy legislation and identify the core legal instruments shaping the EU’s renewable energy strategy. We will leverage a case study, looking at how the Portuguese electricity system is organized and how renewable energy projects are currently being developed in Portugal, as well as what is a typical licensing procedure of a renewable energy asset, the main contracts for project development and the main concerns of an M&A transaction. 

This will be achieved through two week-long missions:
  • Week 1 Mission: Understand the evolution of EU energy policy and assess how such policy shaped the national regulatory framework and decarbonization goals.
     
  • Week 2 Mission: Understand, from a regulatory standpoint, a typical licensing procedure, as well as the main concerns when drafting project contracts and conducting a typical M&A transaction involving a renewable generation asset.
